These Terms of Service ("Terms") govern your use of the websites, platforms, technologies, and services provided by Arns Innovations ("Arns", "we", "us") and its affiliated commercialization interface, SpinOut U ("SpinOut"). Your access to or use of any of our intellectual property systems, platform features, spinout generators, or AI tooling indicates your agreement to these Terms.
Arns Innovations is the sole intellectual property generator, system inventor, and patent holder for all system-level inventions deployed across the SpinOut U platform. Arns develops and owns recursive invention logic, bundling structures, tokenized attribution methods, and foundational commercial rights. All derivative inventions, subsystems, licensing models, and commercialization flows originate from and are governed by Arns.
SpinOut U is a licensed commercialization platform built on top of Arns Innovationsβ intellectual property portfolio. SpinOut U serves as an AI-native venture operating system that allows university-affiliated users to explore, build with, and license from the recursive system inventions of Arns. SpinOut U does not create IPβit provides venture pathways, spinout kits, and blueprint interfaces based on licensed IP from Arns.
You agree to use the platform lawfully and responsibly, and to respect all IP, licensing, and submission protocols. Any unauthorized use of Arns-owned inventions, bypassing of licensing terms, or misrepresentation of derivative work may result in termination, takedown, or legal action.
Arns Innovations retains full ownership of all foundational, system-level, and recursively generated intellectual property. This includes platform logic, bundling systems, tokenized attribution models, blueprint templates, and invention generation workflows. Attribution, co-creator rights, and downstream licensing are managed under explicit legal agreements defined by Arns. Nothing in your use of the platform grants ownership or invention rights without signed agreements.
Any commercial use, derivative implementation, public deployment, or investor engagement tied to platform-generated ventures or IP requires a valid license from Arns Innovations. SpinOut U facilitates three license modes: (1) Drop License, (2) Co-License, and (3) License-to-Bundle. No other form of use is permitted.
If you submit inventions, ideas, visualizations, data, or complementary IP into the platform, you agree to the Submission and Contributor Terms provided by Arns Innovations. Submitted content may be reviewed, bundled, and matched with system-level inventions at the sole discretion of Arns.
Arns reserves the right to update these Terms periodically. Continued use of the SpinOut U platform or related interfaces constitutes your acceptance of the updated Terms.
