These terms govern use of SpinOut U’s site, role-routing flows, non-confidential submissions, opportunity pages, and related review workflows.
Acceptance and scope
These Terms of Use apply to the SpinOut U website, intake forms, opportunity pages, role-routing flows, market-pull channels, campus network materials, and related non-confidential review workflows operated by Arns Innovations.
By accessing or using the site, you agree to use it only for lawful, professional, authorized, and non-confidential purposes. If you are using the site on behalf of a university, company, lab, agency, fund, sponsor, or other organization, you represent that you have authority to provide the information you submit.
Platform role
SpinOut U is an opportunity-development and commercialization-routing system. It helps surface market pull, campus assets, research, IP, labs, builders, sponsors, partners, pilots, and execution pathways.
SpinOut U does not provide legal, tax, accounting, investment, securities, valuation, regulatory, university-policy, export-control, or procurement advice. Users should consult their own counsel, TTO, compliance office, finance team, and other professional advisers.
Use of the site does not create an agency, fiduciary, employment, partnership, joint venture, broker, finder, representative, or attorney-client relationship.
Eligibility, authority, and accurate information
You may only submit information that you have the right and authority to share. This includes authority from an employer, university, sponsor, research group, company, lab, agency, or other rights holder where applicable.
You agree not to misrepresent your affiliation, title, authority, ownership, readiness, funding status, IP rights, license status, investor status, sponsor status, or ability to bind another party.
SpinOut U may decline, remove, ignore, route, hold, or request clarification on any submission that appears incomplete, unauthorized, sensitive, misleading, regulated, confidential, or outside the purpose of the network.
Non-confidential submissions only
Submit non-confidential information only. Do not submit trade secrets, unpublished patent-enabling details, confidential research results, sponsor-confidential materials, controlled technical data, export-restricted information, regulated health information, student education records, sensitive personal data, or information covered by an NDA unless a separate written agreement authorizes that exchange.
Submissions may be reviewed, summarized, categorized, routed, and discussed internally or with relevant ecosystem participants for the limited purpose of evaluating opportunity fit and next steps. If confidentiality is needed, pause and request a separate written agreement before sharing.
User submissions and review license
By submitting non-confidential information, you grant Arns Innovations and SpinOut U a non-exclusive, worldwide, royalty-free permission to receive, store, review, classify, summarize, analyze, route, display internally, and use that information to evaluate fit, create opportunity maps, prepare non-confidential briefs, improve the network, and communicate with you about potential pathways.
This permission does not transfer ownership of underlying IP, patents, copyrights, inventions, research, data, software, trademarks, or business assets. It allows SpinOut U to operate the review and routing workflow based on the information you chose to submit.
SpinOut U may create tags, summaries, briefs, maps, analyses, templates, datasets, workflow records, and other platform-generated materials. Ownership and use rights in any custom deliverable, paid engagement output, data room, venture package, license package, or sponsor package may be governed by a separate written agreement.
IP ownership, licenses, and assignments
Submitting information, viewing a card, joining a route, participating in a discussion, or appearing in an opportunity map does not transfer IP ownership, create a license, assign patent rights, assign copyright rights, waive moral rights, transfer know-how, or grant commercialization rights.
Any license, option, assignment, sponsored opportunity development agreement, research agreement, material transfer agreement, data use agreement, inter-institutional agreement, startup license, equity agreement, or other IP/commercial agreement must be separately negotiated and signed by the authorized parties.
University-owned, employer-owned, sponsor-funded, federally funded, jointly invented, or jointly developed assets may be subject to institutional policies, invention assignment obligations, Bayh-Dole obligations, sponsor terms, publication obligations, government rights, export controls, conflict policies, and other requirements.
Venture formation, equity, financing, and securities
SpinOut U may help identify potential venture pathways, founder routes, sponsor interest, pilot pathways, license pathways, bridge partners, or financing categories. That does not create a company, equity right, founder role, advisory role, investment allocation, compensation right, securities offering, or financing commitment.
Any investment, SAFE, note, equity grant, founder split, advisory grant, sponsor financing, venture studio agreement, option agreement, side letter, fund commitment, or securities-related transaction must be handled through separate documents and appropriate legal/compliance review.
Nothing on the site is intended as an offer to sell, solicitation to buy, investment recommendation, broker-dealer activity, crowdfunding campaign, public securities offering, or guarantee that any person is accredited, eligible, suitable, or approved to invest.
Opportunity routing, introductions, and no guarantees
SpinOut U may help route information, identify potential matches, prepare non-confidential opportunity briefs, suggest next steps, or facilitate introductions. SpinOut U does not guarantee licensing, funding, venture creation, university approval, sponsor commitment, procurement, pilot access, regulatory clearance, manufacturing availability, investment, employment, team formation, revenue, or commercialization success.
Any party may decline to engage, require diligence, require additional agreements, restrict information sharing, pause a pathway, or change priorities at any time.
Third-party names, marks, and public references
Company, university, lab, agency, fund, sponsor, nonprofit, and partner names may appear to identify public information, potential relevance, market pull, ecosystem context, or possible fit. Such references do not imply endorsement, affiliation, sponsorship, approval, authorization, or participation unless expressly stated.
You may not use SpinOut U, Arns Innovations, or third-party names, logos, marks, cards, summaries, or opportunity references in a misleading way or in a way that suggests endorsement, partnership, investment, license, affiliation, or approval without written permission.
Prohibited use
You may not use the site to submit unlawful, infringing, confidential, export-controlled, regulated, harmful, misleading, defamatory, discriminatory, harassing, malware-containing, or unauthorized material.
You may not scrape, reverse engineer, overload, copy, republish, harvest contact information, bypass access controls, impersonate another person, or interfere with private review workflows.
Privacy and data
Use of the site is also governed by the Privacy Policy. You should not submit sensitive personal information unless specifically requested and appropriate. SpinOut U may collect contact, organization, route, submission, and engagement information to operate the network, review opportunities, and communicate with users.
Opportunity development, stakeholder alignment, and no guaranteed outcomes
SpinOut U exists to help organize the opportunity gap between raw market pull and fully executable commercialization pathways. That work may include identifying relevant university or lab IP, surfacing research and technical capability, connecting builders, recruiting teams, mapping sponsors, shaping pilot logic, and helping stakeholders understand what would be required to move forward.
A market-pull card, creation path, campus match, intake lane, opportunity brief, sponsor-ready package, or private room does not guarantee funding, sponsorship, procurement, a pilot, a license, company formation, founder participation, equity, investment, exclusivity, university approval, corporate approval, or any other commercial outcome.
To become executable, an opportunity generally requires coordination among the appropriate stakeholders, which may include campuses, TTOs, faculty, students, labs, leadership teams, sponsors, corporate partners, public-sector partners, pilots, legal teams, finance teams, and other decision-makers. Any final path must be reviewed and approved through the relevant organizations and separate written agreements.
SpinOut U is designed to surface and structure opportunities that originate from market pull and are built with university or lab IP, research, technical capability, and campus-originated teams or partners. The platform helps make those opportunities more visible, organized, and actionable before a traditional accelerator, procurement process, investment process, company formation path, or sponsor-funded challenge would normally begin.
This means SpinOut U may help create an opportunity-development pathway, but the pathway becomes real only when the relevant parties align, approve, fund, license, sponsor, pilot, or otherwise execute through appropriate processes.
Separate agreements control
Where SpinOut U, Arns Innovations, a university, company, lab, sponsor, investor, founder, bridge partner, or other participant enters into a written agreement, that written agreement controls over these general website terms for the specific subject matter it covers.
Examples include NDAs, license agreements, option agreements, sponsored opportunity development agreements, consulting agreements, venture studio agreements, data use agreements, pilot agreements, investment documents, and other definitive agreements.
Disclaimers, limitation of liability, and updates
The site and materials are provided for informational and opportunity-development purposes on an “as is” and “as available” basis. To the fullest extent permitted by law, Arns Innovations disclaims warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, availability, and outcome.
To the fullest extent permitted by law, Arns Innovations and SpinOut U will not be liable for indirect, incidental, consequential, special, exemplary, punitive, lost profit, lost opportunity, lost data, business interruption, or similar damages arising from use of the site or reliance on opportunity materials.
These Terms may be updated as SpinOut U evolves. Continued use of the site after updates means you accept the updated Terms.
Governing law and contact
Unless a separate written agreement states otherwise, these Terms are intended to be governed by the laws of Tennessee, without regard to conflicts-of-law principles, to the extent permitted by law.
